DavinciPay provides payment processing solutions for high-risk merchants, including but not limited to nutraceuticals, telehealth, CBD, ecommerce, financial services, and other industries. Our services include merchant account setup, payment gateway configuration, transaction processing, chargeback management tools, and related support.
To use our services, you must be at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or the business entity you represent. By submitting an application, you represent that all information provided is accurate and complete.
To access our payment processing services, you must complete our online application and undergo our review and approval process. Approval is at our sole discretion. We reserve the right to request additional documentation, decline an application, or terminate an account at any time if we determine that a merchant poses unacceptable risk or has violated these Terms.
You agree not to use our website or services to:
Engage in any unlawful, fraudulent, or deceptive activity.
Process transactions for products or services that violate applicable laws or card network rules.
Transmit viruses, malware, or other harmful code.
Attempt to gain unauthorized access to our systems or the accounts of other users.
Misrepresent your business, products, or transaction activity.
We reserve the right to suspend or terminate your access for any violation of this section.
Fees for our services, including transaction processing rates, monthly fees, chargeback fees, and any applicable reserves, will be disclosed to you during the application and onboarding process. By using our services, you authorize us to deduct applicable fees from your settlement funds or charge your designated bank account. Fee schedules may be updated with prior notice.
You are responsible for all chargebacks, retrieval requests, and disputes associated with transactions processed through your merchant account. We provide tools and support to help prevent and respond to chargebacks, but the financial liability for chargebacks remains with you. Excessive chargeback ratios may result in additional fees, reserves, or account termination.
All content on the DavinciPay website, including text, graphics, logos, and software, is the property of DavinciPay or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent.
Our website and services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or secure at all times.
To the maximum extent permitted by law, DavinciPay and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services. Our total liability for any claim shall not exceed the total fees paid by you to DavinciPay in the twelve (12) months preceding the claim.
You agree to indemnify, defend, and hold harmless DavinciPay and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of our services, your violation of these Terms, or your violation of any applicable law or third-party rights.
Our services may integrate with or rely on third-party providers, including acquiring banks, payment networks, and technology partners. We are not responsible for the performance, availability, or policies of third-party services. Your use of third-party services may be subject to their own terms and conditions.
Either party may terminate the service relationship at any time, subject to any notice periods outlined in your merchant agreement. We may suspend or terminate your account immediately if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to our business or partners. Obligations that survive termination include payment of outstanding fees, indemnification, and limitation of liability.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which DavinciPay operates, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction, as determined by the applicable merchant agreement.
We may revise these Terms of Use at any time by posting updated terms on this page with a new effective date. Your continued use of our website or services following any changes constitutes your acceptance of the revised Terms.
